Designer Terms

1. What this is about

T-Nerds (T-Nerds GmbH, Borsigstrasse 18, 47574 Goch, Germany, "T-Nerds" or "we") runs the online shop t-nerds.de. There we sell garments such as T-shirts, hoodies and sweatshirts with designs that designers provide through the designer portal (designer.t-nerds.de).

These terms govern the cooperation between T-Nerds and you as a designer. They apply from your registration in the designer portal to all designs you submit there.

2. Registration and account

  1. Any natural person aged 18 or over and any company can take part. Minors need the consent of a parent or legal guardian.
  2. When registering, you provide a designer name, an email address and a password. Your designer name is published in the shop. Your details must be correct; you keep them up to date in the portal.
  3. We review every registration and activate the account. There is no entitlement to activation.
  4. You are responsible for keeping your login details secret. Report any misuse of your account to designer@t-nerds.de immediately.

3. Your designs

  1. In the portal you can upload designs and choose a title, description, categories and the garment colors the design should be offered in. You also state whether the design was created entirely or partly with AI tools.
  2. We review every design before it is published. We may reject designs without giving reasons, for example because of legal concerns, technical defects or because they don't fit our range.
  3. You can withdraw a published design in the portal at any time. Orders received up to that point will still be fulfilled.
  4. We decide which garments, colors, sizes and prices we offer. We may change the range and prices at any time.

4. Rights to your designs

  1. All rights to your designs remain with you.
  2. For the duration of our cooperation, you grant T-Nerds the simple, non-exclusive right to
    • print your designs on garments and similar products and sell them worldwide via t-nerds.de and our other sales channels,
    • reproduce and edit your designs to present the products (for example to create previews and mockups, or adjust size and placement), and make them publicly available,
    • use them to promote the shop and your designer page, for example in newsletters, on social media and in ads.
  3. You may continue to use your designs yourself and offer them to others.
  4. After the cooperation ends or a design is withdrawn, we remove the design from the shop within 14 days. We may continue to use products already sold and promotional material created up to that point, and are not obliged to recall them.

5. What you assure us

  1. You own all rights to the designs you submit, or the rights holder has authorized you to grant them to us as described in section 4.
  2. Your designs do not infringe any third-party rights, in particular no copyrights, trademarks, design rights or personality rights. This also applies to designs created with AI tools: you are responsible for making sure you may use them and grant us the rights.
  3. Your designs contain no content that violates the law or that we don't want to sell, in particular no depictions that glorify violence, promote hatred or discrimination, are pornographic, show unconstitutional symbols or disparage people.
  4. If a third party asserts claims against us because of one of your designs, you indemnify us against these claims and the reasonable costs of legal defense, insofar as you are responsible for the infringement. You support us in the defense with all necessary information.
  5. Fan art and designs that refer to well-known brands, movies, games or characters carry a particular risk. We may reject such designs or remove them later if we have legal concerns.

6. Commission

  1. For every item sold with your design, you receive a commission of 10% of the item's net sales price. The net sales price is the item price paid by the customer after discounts and VAT; shipping costs are not included.
  2. If an item is returned or the purchase price is refunded, the commission for that item lapses. We offset amounts already credited against your balance.
  3. Commission is earned as soon as the customer has paid. You can see your current sales and balance in the portal at any time.
  4. We may change the commission rate by email with 4 weeks' notice. The old rate applies to sales before the effective date. If you don't agree with the change, you can end the cooperation.

7. Statements and payouts

  1. We settle monthly and pay out as soon as your open balance reaches at least 50 euros. If it is below that, it is carried over to the following month.
  2. Payouts are made by bank transfer to the IBAN or to the PayPal address you have entered in the portal. You are responsible for incorrect or missing details.
  3. Settlement is made by self-billing: for every payout we create a credit note listing all items and make it available to you in the portal. You agree to this procedure.
  4. You are responsible for paying tax on your income yourself. State in the portal whether you are a small business under § 19 of the German VAT Act (UStG) or liable to VAT; in the latter case, enter your VAT identification number. For designers liable to VAT, we show VAT on the credit note.
  5. Commission claims become time-barred in accordance with statutory provisions. Please let us know about any objections to a credit note within 4 weeks of it being made available.

8. Your designer page

  1. For every activated designer, we create a public designer page in the shop with your designer name, profile text, profile picture (if available), the social media links you provided and your designs.
  2. You decide which details you publish. You may not place any unlawful content there or advertise other shops for printed garments.
  3. We may use your designer page and your designs to promote the shop (see section 4).

9. Term and termination

  1. The cooperation runs for an indefinite period. Either party can end it at any time with 14 days' notice by email; you can do so by emailing designer@t-nerds.de.
  2. We may block your account immediately and terminate the cooperation without notice if you breach these terms, in particular section 5.
  3. After termination we remove your designs from the shop (section 4 no. 4). Commission earned up to then is paid out with the next regular statement, even if the 50-euro threshold has not been reached.

10. Data protection

Which data we process in the designer portal and how long we keep it is described in our privacy policy at https://www.t-nerds.de/policies/privacy-policy. We have to keep billing data even after the cooperation ends in accordance with tax regulations.

11. Liability

  1. We are liable without limitation for intent and gross negligence and for damage resulting from injury to life, body or health.
  2. In the case of slight negligence, we are only liable for breaches of essential contractual obligations, limited to the foreseeable damage typical for this type of contract.
  3. We do not guarantee any particular sales figures or uninterrupted availability of the shop or the portal.

12. Changes to these terms

We may change these terms if this is necessary for legal or operational reasons. We will inform you of changes by email at least 4 weeks in advance. If you don't object before they take effect, the new terms apply. We will point out this right to object in the notification. If you object, either party may end the cooperation as of the effective date.

13. Final provisions

  1. German law applies. If you live in another country, mandatory consumer protection provisions of that country remain unaffected.
  2. The place of jurisdiction for businesses is Goch, Germany.
  3. If any provision is invalid, the remaining provisions remain valid.
